Terms of Service

These Terms of Service (“Terms”) govern your use of Zentier, a product operated by Opscale Group (CVR-nr. 44583216) (“we”, “us”, “our”). Our full company details, including our registered address, are published at Company Details. By creating an account or using the platform, you agree to be bound by these Terms. If you do not agree, please do not use the service.

We sell Zentier directly: when you buy a plan or a top-up, your contract is with Opscale Group. Payments are processed by Stripe.

1. Service Description

Zentier is a platform that uses AI to help you build, deploy, and manage web applications. The service includes AI-powered code generation, cloud infrastructure (development containers, build machines, and deployment hosting), and collaboration tools.

Zentier is currently in early access (alpha). Features, pricing, and availability may change as we continue to develop the platform. We will notify you of any material changes that affect your use of the service.

2. Eligibility

Zentier is offered only to businesses: companies and other organisations, and individuals acting for purposes of their trade, business, craft or profession. It is not offered to consumers. By creating an account or making a purchase, you confirm that you use the service for those purposes.

Zentier is not available in Belarus, Cuba, Iran, North Korea, Russia or Syria, or in the Crimea, Donetsk, Kherson, Luhansk, Sevastopol and Zaporizhzhia regions of Ukraine. You may not create an account or use the service from those places.

You must be at least 16 years old to use Zentier, in accordance with GDPR Article 8. By using the service, you affirm that you meet this age requirement.

If you are using the service on behalf of an organization (such as your employer or a company you represent), you represent and warrant that you have the authority to bind that organization to these Terms. In that case, “you” refers to both you individually and the organization.

3. Account Responsibilities

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate information when creating your account and keep it up to date.

You must notify us immediately at support@zentier.ai if you become aware of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. Acceptable Use

You agree not to:

  • Create applications that are illegal, harmful, or designed to facilitate illegal activity.
  • Use the service to violate the rights of others, including intellectual property rights, privacy rights, or any other legal rights.
  • Attempt to gain unauthorized access to the service, other accounts, or any systems or networks connected to the platform.
  • Interfere with or disrupt the service, including its servers, networks, or infrastructure.
  • Circumvent usage limits, billing controls, or any other technical measures we put in place.
  • Use the service to develop products that directly compete with Zentier.
  • Upload malware, viruses, or any other malicious code to the platform.
  • Use the platform's AI features to generate sexual or intimate imagery of a real person without their consent, or any sexual content involving minors. This is prohibited outright, and is grounds for immediate termination without notice.
  • Build or operate an AI system for a purpose prohibited by Article 5 of the EU AI Act, including social scoring, untargeted scraping of facial images, inferring emotions in a workplace or school, and the manipulative or exploitative practices listed there.
  • Deploy an AI system that qualifies as high-risk under Annex III of the EU AI Act without telling us in writing in advance.
  • Operate an agent, chatbot, or other AI system that interacts with people without telling them they are interacting with AI, or publish AI-generated or AI-manipulated images, audio, video, or text without the labelling the law requires of you.
  • Publish sexual or adult content or services, including AI companion, partner, or relationship services.
  • Operate anything deceptive: phishing or credential harvesting, impersonating another person, business, or brand, fake reviews, testimonials, or engagement, or synthetic media of a real person presented as genuine.
  • Send unsolicited bulk email or messages, or use the platform for spam, scraped mailing lists, or unconsented outreach.
  • Operate gambling, betting, lotteries, or paid loot boxes.
  • Issue, exchange, mine, or trade cryptocurrency, tokens, or NFTs, or operate a crypto payment or custody service.
  • Sell or promote counterfeit goods, unlicensed media or streaming, or age-restricted and regulated products — drugs, alcohol, tobacco, firearms, pharmaceuticals — or offer regulated financial, legal, or medical services you are not licensed to provide.
  • Promote pyramid schemes, multi-level marketing, or get-rich-quick offers.

We reserve the right to suspend or terminate accounts that violate this policy. Where practicable, we will provide notice and a reasonable opportunity to cure the violation before taking action.

5. Intellectual Property

Your code belongs to you. You retain all intellectual property rights in the code, content, and applications you create using Zentier. AI-generated code produced by the platform in response to your prompts is assigned to you upon generation. We do not claim ownership of your projects or generated output.

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit and display your content and applications, only as needed to provide the service to you. This licence ends when you delete the content or close your account, except for copies we keep as described in our Privacy Policy or as the law requires.

When we serve an application you deploy, we may add what the platform needs to deliver it, such as headers and scripts, and, depending on your plan, a small credit linking to Zentier. If you allow remixing for an application, you grant other Zentier users a licence to copy its files into their own workspaces and to use, modify and publish their copies.

We retain all rights in the platform itself, including the AI models, infrastructure, user interface, documentation, and underlying technology. Nothing in these Terms grants you any rights to our trademarks, logos, or brand assets.

6. Billing and Payments

Each plan includes a monthly usage allowance. The free tier includes an allowance at no cost; paid plans include progressively larger ones. If you need more usage within a billing period, top-ups can be purchased.

How far a monthly allowance goes will vary based on the length and complexity of your requests, the size of the files and context involved, how long a conversation or task has been running, and the model or feature you use. For anything you deploy, it also varies with the traffic your apps serve and the resources they consume.

To manage capacity and ensure fair access to all users, we may limit your usage in other ways, such as daily, weekly and monthly caps, concurrency limits, or model and feature availability, at our discretion.

Subscriptions and cancellation

Paid plans are billed monthly in advance and renew automatically at the start of each monthly billing period. You will be charged every month until you cancel. You can cancel at any time in Settings > Billing. Cancellation takes effect at the end of the billing period you have already paid for: your plan continues until then, and you are not charged again.

An upgrade to a higher plan takes effect immediately once you have paid a prorated charge for the rest of the current billing period. A downgrade to a lower plan takes effect at the end of the current billing period. Top-ups are one-off purchases, and the usage they add does not expire.

Refunds

Usage you have already consumed is not refunded, and neither is a billing period, or part of one, that has already started, including when you cancel or downgrade. Any other refund is at our discretion: contact support@zentier.ai. If we refund a purchase, we may remove the usage it added from your workspace.

Prices, VAT and business details

Prices are shown excluding VAT and other taxes. If you are in Denmark, Danish VAT is added at the Danish rate (currently 25%). If you are in another EU country, no VAT is added and the reverse charge applies: you account for the VAT yourself. Elsewhere, no tax is added unless we are required to collect it where you are, in which case it is shown at checkout before you pay.

When you buy, you must give your business name. If you are in an EU country other than Denmark or in the United Kingdom, you must also give a VAT number that can be verified, and we cannot complete the purchase without one. If you are in Australia, Canada, India, New Zealand, Saudi Arabia, Singapore, South Korea, Switzerland or United Arab Emirates, you must also give your local tax or business registration number, and we cannot complete the purchase without one. You are responsible for the business details you give. We may refuse or suspend purchases while a required VAT or tax number cannot be verified, and if your details turn out to be wrong, we may charge you any tax that should have applied.

Paid plans and top-ups are not currently sold to buyers in Japan or South Africa; the Free plan is available there.

We will provide at least 30 days' notice before changing the pricing of existing plans.

If a renewal payment fails, building in your workspace is paused while the payment is retried, and your live apps keep running. If the payment still fails after the retries, we suspend the workspace, including its live apps, until the balance is paid.

7. Data and Privacy

Your project code and data belong to you. We process your personal data as described in our Privacy Policy, which forms part of these Terms.

When you deploy applications through our platform, you are the data controller for your application's end-user data, and we act as a data processor on your behalf. You are responsible for your own application's privacy compliance, including providing your end users with an appropriate privacy policy and obtaining any necessary consents. For details on our role as a data processor, see Section 12 of our Privacy Policy.

AI inference

Our AI features route through OpenRouter to the model providers it works with, as described in our Privacy Policy and at Trust Center. You agree to comply with the usage policies of the model providers your requests reach, including the Anthropic Acceptable Use Policy, OpenAI Usage Policies, Google's Generative AI Prohibited Use Policy, and the OpenRouter Terms. We may suspend AI access on a credible report of abuse pending investigation. Abuse reports go to abuse@zentier.ai or through our reporting form; both reach the same queue.

AI systems you build

If you use Zentier to build, deploy, or operate an AI system, then as between you and us you are responsible for that system's compliance with the EU AI Act and equivalent laws — including telling people when they are interacting with AI, labelling AI-generated or AI-manipulated content where required, and any obligations that attach to high-risk uses. We supply models and runtime; we do not control what you build, who you make it available to, or how it is used.

8. Service Availability

We strive to provide a reliable service, but we do not guarantee specific uptime levels during the alpha period. The service is provided on a reasonable-efforts basis.

We may perform scheduled maintenance from time to time and will provide advance notice where possible. We are not liable for service interruptions caused by factors outside our reasonable control, including internet outages, third-party service failures, or force majeure events.

9. Limitation of Liability

To the maximum extent permitted by applicable law, our total aggregate liability to you for any claims arising from or related to your use of the service is limited to the greater of: (a) the amount you paid us in the 12 months preceding the claim, or (b) EUR 100.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunities, or any other intangible losses, even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

10. Warranty Disclaimer

The service is provided “as is” and “as available” during the alpha period, without warranties of any kind, whether express or implied. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service will be uninterrupted or error-free, or that AI-generated code will be free of bugs or security vulnerabilities. You are responsible for reviewing and testing all code before deploying it to production or making it available to end users.

11. Termination

You may close your account at any time through your account settings. Account deletion follows a 7-day grace period, as described in our Privacy Policy. You may export your data before account closure using the data export feature available in your account settings.

We may terminate or suspend your account if you materially breach these Terms. Where the breach is curable, we will provide notice and a reasonable opportunity to resolve the issue before termination. Upon termination, your right to use the service ceases immediately.

12. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify you via email at least 30 days before the changes take effect. We will also update the “Last updated” date at the top of this page.

Continued use of the service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you may close your account before the effective date.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Denmark. Any disputes arising from or relating to these Terms or your use of the service will be resolved in the courts of Copenhagen, Denmark.

This choice of law and jurisdiction does not affect any mandatory consumer protection rights you may have under the laws of your country of residence.

14. General Provisions

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of the service, and supersede any prior agreements or understandings.
